107 Third Party Notes Payable. With respect to the Borrower and its Restricted Subsidiaries, all Indebtedness for Money Borrowed other than (a) the Obligations and publicly issued Indebtedness for Money Borrowed which is PARI PASSU with the Obligations, (b) non-recourse Indebtedness, (c) Indebtedness owed to the seller of any Inventory acquired by the Borrower or its Restricted Subsidiaries, (d) Indebtedness which is structurally subordinate to the Obligations or which is convertible into equity at the option of the Borrower, (e) Indebtedness for ▇▇▇▇▇▇▇ money and (f) notes payable for insurance premiums and capitalized lease obligations.
