2Effective Time. The Merger shall become effective as set forth in the certificate of merger that shall be filed with the Secretary of State of the State of Delaware and the statement of merger that shall be filed with the Division of Corporations and Commercial Code of the Utah Department of Commerce on the Closing Date (together, the “Certificates of Merger”). The term “Effective Time” shall mean the date on and time at which the Merger becomes effective as set forth in the Certificates of Merger.
