Common use of Absence of Certain Litigation Clause in Contracts

Absence of Certain Litigation. There shall not be any suit, action or other proceeding, investigation or inquiry brought by any Governmental Entity that could result in (i) the restraint or prohibition of the consummation of any material transaction contemplated by this Agreement or asserts the illegality thereof or (ii) a Mammography Intellectual Property Material Adverse Effect. There shall not be any suit, action or other proceeding brought by any third party (other than a Governmental Entity) before a Governmental Entity that could reasonably be expected to result in (i) the restraint or prohibition of the consummation of any material transaction contemplated by this Agreement or asserts the illegality thereof or (ii) a Mammography Intellectual Property Material Adverse Effect.
