Absence of Injunctions, etc. No injunction or restraining order of any court or administrative tribunal of competent jurisdiction will be in effect prohibiting the transactions contemplated hereby and no action or proceeding at law or in equity will have been instituted or be pending against the Purchaser to restrain or prohibit the transactions between the parties contemplated hereby or otherwise;
