Absolute and Present Assignment Clause Samples

An Absolute and Present Assignment clause transfers all rights, title, and interest in a specified asset or contract from one party to another immediately and unconditionally. This means the assignor relinquishes any future claim or control over the assigned property, and the assignee gains full ownership or entitlement at the moment the agreement is executed. Such a clause is commonly used in the sale of receivables, intellectual property, or contractual rights to ensure that the transfer is complete and not subject to future conditions. Its core function is to provide certainty and finality in the transfer of rights, eliminating ambiguity about ownership or entitlement.
