Academic Units. All units earned, with a grade of C or better, above the A.B. Degree, and those received within the A.B. considered graduate courses and so designated on the transcript of the awarding institution. Exception: Units that are clearly identified with church doctrine, and are clearly sectarian in nature, are not counted. All units are counted as semester units. (Quarter units are converted to semester units; i.e., one quarter unit is equal to 2/3 of a semester unit.) Column placement on the salary schedule is determined by the exact number of units completed and for which a transcript is on file. Unofficial transcripts are acceptable in order to meet the deadline for the September payroll, but must be followed by the official transcripts of the awarding institution. Academic Units. Each teaching member shall have a primary home in an Academic Unit, though there may be joint appointments across units. New Academic Units may be established by Management according to criteria of commonality of interest and academic purpose. Major groupings of Academic Units with some common interest may also be formed or changed in consultation with affected faculty and the AAUP. Except as specifically provided in other sections of this Agreement, the home Academic Unit is the structure through which the members shall participate in personnel matters. The Academic Unit, or the academic areas within that unit, shall have responsibility for the content and development of courses, curriculum and programs of study within its discipline, research and service within its area, and for evaluation of the performance of all members, subject to all other provisions of this Agreement. In no case shall tenure be lost by the creation, combination, or splitting of Academic Units except in the dissolution of an Academic Unit as specifically described in Article 14Financial Exigency and Academic Reorganization.
Academic Units a. Only approved coursework and/or program of study will count toward classification advancement. Faculty are encouraged to obtain prior approval before beginning coursework, by submitting course/program and institution information to the Office of Human Resources. b. The rationale for courses and/or degrees submitted for credit toward classification advancement must meet at least one of the following conditions: (i) Be directly related to the employee’s current faculty service area; (ii) Be consistent with the minimum qualifications necessary to maintain the employee’s position with the District; (iii) Meet requirements for a degree in employee’s current faculty service area; (iv) Be an appropriate course(s) or program of study relating to the learning process or special student situations, (e.g., conditions unique to underrepresented populations, first-generation students, etc.). (v) Be professional education and/or college administration courses, providing these courses would aid the faculty member in understanding education law, finance, or organization. (vi) Or otherwise add to the faculty member’s professional competence c. No course, semester units, or degree credit shall be granted for classification advancement unless such course, semester units or degree was earned at an institution of higher learning, which has been accredited by a nationally recognized agency, such as the Western Association of Schools and Colleges (WASC). The District reserves the right to determine if the accrediting agency is acceptable. Faculty are encouraged to ask the District to make this determination prior to beginning courses or a program of study. d. No course or semester units shall be approved for classification advancement or for degree credit unless the employee receives a letter grade of “C” or higher or receives a “pass” designation in the “pass or fail” system.
Academic Units. Effective on the Realignment Effective Date, and subject to the eventual terms of the Definitive Agreements: a. IU will assume responsibility and authority for the School of Science at IUPUI (other than Computer Science) and the Music and Arts Technology department and programs currently operated by IU within the Purdue School of Engineering and Technology at IUPUI, and (ii) IU will retain all other schools, departments, and programs at IUPUI aside from those described in Section B.1.b below (collectively, the “IU Realigned Academic Units”). b. Purdue will assume responsibility and authority for the Department of Computer Science at IUPUI, and Purdue will retain the departments and programs covered by the School of Engineering and Technology at IUPUI (other than the Music and Arts Technology department and programs assumed by IU as described in Section B.1.a. above) (collectively, the “Purdue Realigned Academic Units”). c. The IU Realigned Academic Units and the Purdue Realigned Academic Units are sometimes referred to herein collectively as the “Realigned Academic Units.” d. Notwithstanding the assignment of the two Parties of the Realigned Academic Units as described above, in an effort to meet the critical needs of the State, and subject to any required approvals of the Indiana Commission for Higher Education: (1) IU intends to expand in Indianapolis the computer science degrees and courses offered by the ▇▇▇▇▇ School of Informatics, Computing, and Engineering, and (2) Purdue may in the future offer in Indianapolis science or management courses within its curricula for degrees offered on the West Lafayette campus. e. With respect to any other programs that are currently embedded in one of the Realigned Academic Units but that would be more closely affiliated with the primary mission areas of the other Party after the Realignment Effective Date, the Parties will consider and address the treatment of such academic units on a case- by-case basis.
Academic Units. This agreement includes the following schools/colleges/institutes, departments or centers:
Academic Units. An employee applying for a sabbatical leave for study shall agree to complete and receive credit with a pass or passing grade on at least eighteen (18) semester units of academic work during the sabbatical year, not less than eight (8) semester units of which shall be completed during each semester while on leave. These courses shall be exclusive of correspondence courses. If approved, a special project or research problem may be substituted for the unit requirement.

No more than 15 semester units per school year (July through June), or more than 6 semester units per school semester, will be allowed toward change of classification unless the employee is on a sabbatical or a leave of absence for the purpose of full-time study. d. No course shall receive preliminary approval by the Vice President if it is substantively similar in content or title to a course for which the employee previously received credit for either initial placement or reclassification. e. No course or semester units shall be approved for classification advancement and no degree credit shall be granted unless such course, semester units or degree was earned at an institution of higher learning which has been accredited by a nationally recognized agency such as the Western Association of Schools and Colleges (WASC). The District reserves the right to determine, at the time of final review, and prior to the faculty member commencing academic work, if the accrediting agency is acceptable. f. Course or semester units shall be approved for reclassification advancement, and degree credit shall be granted if the institution of higher learning was in the final stage of the accreditation process when the course, semester units or degree was completed and accreditation is later granted within two (2) year...

  • Membership Units The Company is initially organized with One (1) class of Membership Interests, designated in Units, which Units are initially the only class of equity in the Company. The Units shall have no par value and shall be of a single class with identical rights. The Company shall have a first lien on the Units of any Member for any debt or liability owed by such Member to the Company. Additional and different classes of Membership Interests represented by different Units may be created and issued to new or existing Members on such terms and conditions as the Governors may determine. Such additional and different classes may have different rights, powers and preferences (including, without limitation, voting rights and distribution preferences), which may be superior to those of existing Members. Members shall have no preemptive rights to acquire additional or newly created Units.

  • Units Interests in the Partnership shall be represented by Units. The Units initially are comprised of one Class: Class A Units.   • Shares; Membership Interests (a) The total of the membership interests in the Company shall be divided into (i) Class A Ordinary Shares having the rights and preferences as set forth herein (the “Class A Ordinary Shares”), (ii) Class A Preferred Shares having the rights and preferences as set forth herein (the “Class A Preferred Shares” and, together with the Class A Ordinary Shares, the “Class A Shares”), (iii) Class B Ordinary Shares having the rights and preferences as set forth herein (the “Class B Ordinary Shares”), and (iv) Class C Ordinary Share having the rights and preferences as set forth herein (the “Class C Ordinary Share” and, together with the Class A Ordinary Shares, the Class A Preferred Shares and the Class B Ordinary Shares, the “Shares” and each a “Share”). Class A Ordinary Shares, Class A Preferred Shares and Class B Ordinary Shares shall have the same rights, powers and duties, except as otherwise set forth in this Agreement. The number of Class A Ordinary Shares shall be limited to the maximum number of Class A Ordinary shares offered in the Offering, plus (i) the number of Class A Ordinary Shares which may be issued upon conversion of the Class A Preferred Shares, plus (ii) the number of Class A Ordinary Shares which may be issued upon conversion of the Class B Ordinary Shares. For the avoidance of doubt, in the event that all of the Class A Ordinary Shares are not sold pursuant to the Offering, the Board shall, upon the final closing of the Offering, issue a number of Class A Ordinary Shares to the Initial Member equal to the aggregate number of Class A Ordinary Shares that remain unsold in the Offering, as repayment in full of any and all obligations owing to the Initial Member in respect of advances made to acquire the Artwork and true-up fees payable to the Initial Member. The name and mailing address of each Member or such Member’s representative shall be listed on the books and records of the Company maintained for such purpose by the Company or the Transfer Agent. (b) Prior to the date hereof and as set forth in the Original Agreement, the Initial Member has been issued 100% of the membership interests in the Company in return for a capital contribution of $100 (the “Prior Interests”). Upon execution of this Agreement, the Prior Interests shall be automatically converted into 1,000 Class B Ordinary Shares. As of the date of such conversion, the Class B Ordinary Shares shall constitute all of the membership interests of the Company and, prior to the issuance of Class A Ordinary Shares, Class A Preferred Shares and Class C Ordinary Share, shall have all of the rights and privileges of 100% of the membership interests in the Company afforded pursuant to this Agreement and applicable law. (c) Notwithstanding any provision to the contrary in this Agreement, the Board shall have full power and authority to schedule one or more closings to issue Class A Ordinary Shares and admit Members to the Company in accordance with the provisions of this Agreement. Any Person that acquires Class A Ordinary Shares and is admitted as a Member of the Company after the date hereof, shall, in connection with such Member’s acquisition of such Class A Ordinary Shares, be deemed to pay to the Company such Member’s pro rata share of any amounts used to acquire the Artwork, including any true-up fees and any other amounts paid to the Company by the previously admitted Members. (d) The Class A Members may elect to convert their Class A Preferred Shares into Class A Ordinary Shares, in whole or in part, at any time prior to the consummation of the Sale of the Artwork, subject to the terms and conditions herein, for no additional consideration. Each Class A Preferred Shares will automatically convert to one Class A Ordinary Share upon any Transfer of such Class A Preferred Shares to an entity that is not an Affiliate of the Administrator. (e) The Class B Members may elect to convert their Class B Ordinary Shares into Class A Ordinary Shares, in whole or in part, at any time prior to the consummation of the Sale of the Artwork, subject to the terms and conditions herein, for no additional consideration pursuant and to the following conversion formula: The number of Class A Ordinary Shares issuable upon conversion of Class B Ordinary Shares shall equal (A) the Value Increase, multiplied by (B) the Conversion Percentage, multiplied by (C) 20%, divided by (D) the Class A Ordinary Share Value.
