Acceleration of Vesting Upon Change in Control. All stock options and restricted stock issued under the Company's 1995 Long Term Incentive and Share Award Plan (or any successor plan) shall become immediately vested in full and, in the case of stock options, immediately exercisable in full, upon a Change in Control in accordance with the applicable restricted stock agreements and stock option agreements.
