Common use of Acceptance and Custody of Notes Clause in Contracts

Acceptance and Custody of Notes. On the Restatement Effective Date, each Purchaser (or its respective Deal Agent) shall take delivery of its applicable Note and each respective Deal Agent shall maintain custody thereof on behalf of such Purchaser. Promptly following the Restatement Effective Date, each Existing Series 2009-1 Noteholder shall deliver to the Issuer the Note issued to such Existing Series 2009-1 Noteholder under the Original Note Purchase Agreement (the “Old Note”) and the Issuer shall forward such Old Note to the Indenture Trustee for cancellation.
