Common use of Acceptance and Lease of Property Clause in Contracts

Acceptance and Lease of Property. Subject to the conditions set forth in the Participation Agreement, including without limitation the satisfaction or waiver of the conditions set forth in Article VI thereof, the Lessor hereby agrees to accept delivery on each Acquisition Date of the Land or leasehold interest therein, as applicable to the Headquarters Building, to be delivered by the seller of such Land or, in the case of the Headquarters Building, the Company on such Acquisition Date pursuant to the terms of the Participation Agreement together with any Improvements thereon and simultaneously to demise and lease to the applicable Lessee hereunder and under the Lease Supplement to which such Lessee is a party, for the Lease Term, the Lessor's interest in such Land and in such Improvements together with any Improvements which thereafter may be constructed on such Land pursuant to the Construction Agency Agreement or this Master Lease, and each Lessee hereby agrees, expressly for the direct benefit of the Lessor, to lease from the Lessor for the Lease Term, the interest of the Lessor in such Land (including any and all of the Lessor's contractual rights and benefits relating thereto) and in such Improvements together with any Improvements which thereafter may be constructed on such Land pursuant to the Construction Agency Agreement and this Master Lease.

Acceptance and Lease of Property. Subject Effective as of the Closing Date, -------------------------------- the Lessor, subject to the conditions set forth in the Participation Agreement, including without limitation the satisfaction or waiver of the conditions set forth in Article VI thereofSection 6 of the Participation Agreement, the Lessor hereby agrees to accept delivery on each Acquisition Date of the Land or leasehold interest therein, as applicable to the Headquarters Building, Interest to be delivered by on the seller of such Land or, in the case of the Headquarters Building, the Company on such Interest Acquisition Date pursuant to the terms of the Participation Agreement together with any Improvements thereon Agreement, and simultaneously to demise and lease to the applicable Lessee hereunder and under the Lease Supplement to which such Lessee is a party, for the Lease TermTerm (as defined in Section 2.3), the Lessor's interest in such Land Interest and, subject to satisfaction or waiver of the conditions set forth in Sections 6.2 and 6.3 of the Participation Agreement, effective as of the Improvements Closing Date, in such Improvements together with any Improvements which thereafter may be constructed on such Land thereon and any Equipment, if any, which may be purchased for use in connection therewith pursuant to the Construction Agency Agreement Agreement, this Lease or this Master Leasethe Participation Agreement, and each the Lessee hereby agrees, expressly for the direct benefit of the Lessor, to lease commencing on the Lease Commencement Date from the Lessor for the Lease Term, the Lessor's interest of the Lessor in such Land (including any Interest to be delivered on such Land Interest Acquisition Date and all of the Lessor's contractual rights and benefits relating thereto) and in such Improvements together with any Improvements which thereafter may be funded pursuant to the Participation Agreement and constructed on thereon and such Land Equipment pursuant to the Construction Agency Agreement and Agreement, this Master LeaseLease or the Participation Agreement.

Subject Effective as of the Closing Date, the Lessor, subject to the conditions set forth in the Participation Agreement, including without limitation the satisfaction or waiver of the conditions set forth in Article VI thereofSections 6.1 and 6.3 of the Participation Agreement, the Lessor hereby agrees to accept delivery on each Acquisition Date of the Land or leasehold interest therein, as applicable to the Headquarters Building, Existing Facility to be delivered by on the seller of such Land or, in the case of the Headquarters Building, the Company on such Interest Acquisition Date pursuant to the terms of the Participation Agreement together with any Improvements thereon Agreement, and simultaneously to demise and lease to the applicable Lessee hereunder and under the Lease Supplement to which such Lessee is a party, for the Lease Termapplicable Term (as defined in SECTION 2.3), the Lessor's interest in such Land Existing Facility and any Tenant Improvements and, subject to satisfaction or waiver of the conditions set forth in such Section 6.2 and 6.3 of the Participation Agreement, effective as of the Expansion Improvements together with Closing Date, any Expansion Improvements which thereafter may be constructed on such Land thereon and any Equipment, if any, which may be purchased for use in connection therewith pursuant to the Construction Agency Agreement Agreements, this Lease or this Master Leasethe Participation Agreement, and each the Lessee hereby agrees, expressly for the direct benefit of the Lessor, to lease commencing on the applicable Lease Commencement Date from the Lessor for the Lease related Term, the Lessor's interest of the Lessor in such Existing Facility to be delivered on such Land (including Interest Acquisition Date and any Tenant Improvements and all of the Lessor's contractual rights and benefits relating thereto) and in such Improvements together with any Expansion Improvements which thereafter may be funded pursuant to the Participation Agreement and constructed on thereon and such Land Equipment, pursuant to the Construction Agency Agreement and Agreements, this Master LeaseLease or the Participation Agreement.
