Common use of Acceptance of Third Party Agreements Clause in Contracts

Acceptance of Third Party Agreements. In addition to accepting INAP’s terms and conditions relating to the Management Services, including the Agreement and this Exhibit, Customer agrees to abide by all of the terms and conditions of the agreement(s), including, but not limited to, any license agreements, acceptable usage policies, or billing policies, between Customer and any third party provider Customer will be using in connection with the Management Services (the “Third Party Agreements”). Customer shall confirm the existence and contents of such Third-Party Agreements by providing evidence to INAP, upon INAP’s request, that Customer has entered into such agreement. Customer shall at all times remain responsible for being aware of any updates or changes to the applicable Third-Party Agreement and INAP shall have no obligation to provide updates to Customer of changes to any Third-Party Agreements. In addition to and without altering or affecting its other indemnification obligations under the Agreement, Customer will defend and indemnify INAP from any third-party claims or actions relating to Customer’s performance or breach under any agreement with a third-party provider.
