Common use of Acceptance Time Clause in Contracts

Acceptance Time. The Company shall cause the transfer of shares of Common Stock accepted for payment to be registered by its transfer agent effective immediately after the time at which Merger Sub accepts for payment and purchases shares of Common Stock validly tendered and not properly withdrawn pursuant to the Offer; provided, that Merger Sub causes the Paying Agent to pay for such shares of Common Stock at or immediately after such acceptance.
