Common use of Acceptance Time Clause in Contracts

Acceptance Time. Seller's acknowledgement of this Purchase Contract, the transaction thereunder, or commencement of any work, shipment or provision of any Goods or performance of any Services shall constitute acceptance by Seller of this Purchase Contract and all of its provisions, terms and conditions. Seller shall contact ▇▇▇▇▇ immediately upon Seller's becoming aware that a delivery cannot be made on schedule. Buyer's production schedules are based upon the agreement that all Goods and/or Services will be delivered to or performed at the date specified on the face of this Purchase Contract or agreed upon with Buyer and in the quantity specified on the face of this Purchase Contract and/or on the attached purchase order. Time is, therefore, of the essence for this Purchase Contract. If deliveries are not made at the time agreed upon, ▇▇▇▇▇ reserves the right to cancel or to purchase elsewhere without liability to Seller, and to hold Seller fully accountable for any and all damages resulting therefrom.
