Access and Compliance Clause Samples

The Access and Compliance clause establishes the requirements for parties to grant access to certain premises, systems, or information and to adhere to relevant laws, regulations, or internal policies. In practice, this clause may require a service provider to allow client representatives to inspect facilities or review records, and obligates both parties to comply with applicable legal or regulatory standards during the course of their engagement. Its core function is to ensure transparency and accountability, while also mitigating legal and operational risks by mandating adherence to established rules and providing mechanisms for oversight.
Access and Compliance. Google will: (a) authorize its employees, contractors and Subprocessors to access Customer Data only as strictly necessary to comply with Instructions; (b) take appropriate steps to ensure compliance with the Security Measures by its employees, contractors and Subprocessors to the extent applicable to their scope of performance; and (c) ensure that all persons authorized to process Customer Data are under an obligation of confidentiality.
Access and Compliance. Crusoe will: (a) authorize its employees, contractors and Subprocessors to access Customer Personal Data only as strictly necessary to comply with Instructions; (b) take appropriate steps to ensure compliance with the Security Measures by its employees, contractors and Subprocessors to the extent applicable to their scope of performance; and (c) ensure that all persons authorized to process Customer Personal Data are under an obligation of confidentiality. Crusoe’s Security Assistance Crusoe will (taking into account the nature of the processing of Customer Personal Data and the information available to Crusoe) assist Customer in ensuring compliance with its (or, where Customer is a processor, the relevant controller’s) obligations under Articles 32 to 34 of the GDPR, by:

HCA shall have access to the Premises at all reasonable times. ▇▇.▇. ▇▇ the event of an emergency threatening immediate client or public health and safety, HCA shall have right of immediate access to the Premises and shall notify the Sublessee as soon as possible of the circumstances necessitating such emergency entry. 19.3. Failure to inspect or enforce compliance shall not be construed as a waiver of Sublessor HCA’s right to declare a breach, nor relieve Sublessee of any liability to Sublessor HCA for any breach of the terms, conditions, or requirements of this Agreement.

Access and Compliance. Acceleration will: (a) authorise its employees, contractors and Subprocessors to access Client Personal Data only as strictly necessary to comply with the Instructions; (b) take appropriate steps to ensure compliance with the Security Measures by its employees, contractors and Subprocessors to the extent applicable to their scope of performance; and (c) ensure that all persons authorised to process Client Personal Data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality.
Access and Compliance. 16.1. DSHS shall have access to the Premises at all reasonable times. 16.2. In the event of an emergency threatening immediate DSHS client or public health and safety, DSHS shall have immediate access to the Premises, and shall notify the Lessee as soon as possible of the circumstances necessitating such emergency entry. 16.3.   • Documentation and compliance (a) The data importer shall promptly and adequately deal with enquiries from the data exporter that relate to the processing under these Clauses. (b) The Parties shall be able to demonstrate compliance with these Clauses. In particular, the data importer shall keep appropriate documentation on the processing activities carried out on behalf of the data exporter. (c) The data importer shall make available to the data exporter all information necessary to demonstrate compliance with the obligations set out in these Clauses and at the data exporter’s request, allow for and contribute to audits of the processing activities covered by these Clauses, at reasonable intervals or if there are indications of non-compliance. In deciding on a review or audit, the data exporter may take into account relevant certifications held by the data importer.

  • Monitoring and Compliance Every year during the term of this Agreement on the anniversary date of the effective date of the Agreement, the Restaurant shall provide to the United States a narrative report of the actions taken during the reporting period to remove any barriers to access and otherwise enhance accessibility for individuals with disabilities at the Restaurant and any plans for action concerning ADA compliance in the coming year. The report shall include as an exhibit copies of any complaint, whether formal or informal, received during the reporting period alleging that the Restaurant was not being operated in compliance with the ADA or otherwise discriminated against any person on account of disability. The Owner and Operator of the Restaurant shall cooperate in good faith with any and all reasonable requests by the United States for access to the Restaurant and for information and documents concerning the Restaurant's compliance with this Agreement and the ADA. The United States shall have the right to verify compliance with this Agreement and the ADA, both as set forth in this Agreement and through any means available to the general public, including visits to the public areas of the Restaurant and communications with Restaurant staff. The United States shall have the right to inspect the facility at any time, and counsel for the United States need not identify themselves in the course of visits to the public areas.

  • Privacy Compliance The Provider shall comply with all applicable federal, state, and local laws, rules, and regulations pertaining to Student Data privacy and security, all as may be amended from time to time.
