Common use of Access Person Clause in Contracts

Access Person. a. any director, officer or general partner of SEI Investments Distribution Co. ("SIDC") who, in the ordinary course of business, makes, participates in or obtains information regarding, the purchases or sales of securities by an Investment Vehicle for which SIDC acts as principal underwriter, or whose functions or duties in the ordinary course of business relate to the making of any recommendations to the Investment Vehicles regarding the purchase or sale of securities; b. any director, officer, general partner or employee of SEI Investments Mutual Fund Services who, in connection with his or her regular functions or duties, participates in the selection of an Investment Vehicle's portfolio securities, or who has access to information regarding an Investment Vehicles' purchases or sales of portfolio securities; c. any natural person in a "control" relationship to an Investment Vehicle or SEI Investments Management Company ("SIMC") who obtains information concerning recommendations made to an Investment Vehicle with regard to the purchase or sale of securities by the Investment Vehicle.
