Common use of Access to Customers and Suppliers Clause in Contracts

Access to Customers and Suppliers. Subject to Section 5.2, between the date hereof and the Closing Date, the parties agree to use commercially reasonable efforts and to act in good faith to develop a limited list of customers and suppliers of the Companies and the Subsidiaries that Buyer may contact with respect to the Acquisition (provided that any such contact shall be initiated by, and at all times conducted in the presence of, representatives of the Companies or Parent), as well as a communication plan with respect to such customers and suppliers that is acceptable to Parent, which acceptance will not be unreasonably withheld.
