Access to Individuals Clause Samples

The "Access to Individuals" clause establishes the right of one party to communicate with or interview specific individuals, such as employees, agents, or representatives, of the other party. Typically, this clause outlines the circumstances under which such access is permitted, such as during audits, investigations, or due diligence processes, and may set conditions like advance notice or confidentiality requirements. Its core function is to facilitate transparency and information gathering, ensuring that relevant personnel can be reached to verify compliance, clarify information, or address concerns during the course of a business relationship.
Access to Individuals. Business Associate agrees to provide Individuals with access to their Protected Health Information, as held in a Designated Record Set by Business Associate, in order to meet the requirements under 45 CFR § 164.524, including in the electronic form or format requested by the Individual, as required by 45 CFR § 164.524. In the event any individual requests access to Protected Health Information directly from Business Associate, it shall forward such request to Participant in a timely manner to allow Participant to respond to the Individual.
Access to Individuals. Participant #2 agrees to provide Individuals with access to their Protected Health Information, as held in a Designated Record Set by Participant #2, in order to meet the requirements under 45 CFR § 164.524, including in the electronic form or format requested by the Individual, as required by 45 CFR § 164.524. In the event any individual requests access to Protected Health Information directly from Participant #2, it shall forward such request to Participant #1.
Access to Individuals. Business Associate agrees to make available to the Covered Entity, or, if directed by Covered Entity, to make available to an Individual Protected Health Information in a Designated Record Set, in order to meet the requirements under 45 CFR 164.524. Except as provided for in this Agreement, in the event Business Associate receives an access request directly from an Individual, Business Associate will redirect the Individual to the Covered Entity within ten (10) business days after the Business Associate's receipt of such request.
Access to Individuals. Within 10 days of receipt of a request from the Covered Entity, Business Associate agrees to provide access to Protected Health Information in a Designated Record Set, to Covered Entity or, as directed by Covered Entity, to an Individual in order to meet the requirements under 45 CFR Section 164.524. Further, if an Individual requests a copy of Protected Health Information in a specific electronic format, Business Associate shall comply with such request, if readily producible, in accordance with the requirements of 45 CFR Section 164.524.
Access to Individuals. Business Associate will maintain appropriate procedures by which Individuals are granted access, in accordance with HIPAA Privacy Standards, to their PHI.

  • Notification to Individuals Where a Breach of PII occurs that is attributable to Contractor, Contractor shall pay for or promptly reimburse the EA for the full cost of the EA’s notification to Parents, Eligible Students, teachers, and/or principals, in accordance with Education Law Section 2-d and 8 NYCRR Part 121.

  • Access to Employees Staff representatives of the Union shall be allowed to visit work areas of employees during working hours and confer on conditions of employment to the extent that such visitations do not disrupt the work activities of the area being visited. Prior to entering the work area, the representative shall receive permission from the appropriate department head or his/her designee stating the reason(s) for such visitations. Permission shall not be unreasonably denied.

  • Key Individuals 20.1. The Contractor acknowledges that the Key Individuals are essential to the proper provision of the Services to the Authority. 20.2. The Key Individuals must not be released from providing the Services without the approval of the Authority, except by reason of long-term sickness, maternity, paternity, adoption or parental leave, termination of employment or equivalent extenuating circumstances. Where such extenuating circumstances arise or are foreseeable, the Contractor must immediately give notice of that fact to the Authority. 20.3. The Contractor may propose a replacement to a Key Individual (and must do so when a Key Individual is to be released from providing the Services), in which case: 20.3.1. appropriate arrangements must be made to minimise any adverse impact on the Framework Agreement which could be caused by the change in Key Individuals (including, wherever possible, a transfer period of sufficient duration to allow for the transfer of know-how and skills); and 20.3.2. the replacement must be of at least equal status and of equivalent qualifications, experience, training and skills to the Key Individual being replaced and must be fully competent to carry out the responsibilities of that person in relation to the Services. 20.4. Any proposed replacement to a Key Individual is subject to the approval of the Authority. Subject to the Contractor’s compliance with this clause, the Authority must not unreasonably withhold such approval.

  • Access to PHI Business Associate shall provide access to PHI in a Designated Record Set to Covered Entity or as directed by Covered Entity to an Individual to meet the requirements under 45 CFR § 164.524. Business Associate shall provide such access in the time and manner reasonably designated by Covered Entity. Within three (3) business days, Business Associate shall forward to Covered Entity for handling any request for access to PHI that Business Associate directly receives from an Individual.

  • Agreements with Employees and Subcontractors Grantee shall have written, binding agreements with its employees and subcontractors that include provisions sufficient to give effect to and enable Grantee’s compliance with Grantee’s obligations under this Article VI, Intellectual Property.
