Common use of Access to List of Holders Clause in Contracts

Access to List of Holders. (a) If the Trustee is not acting as Certificate Registrar, the Certificate Registrar will furnish or cause to be furnished to the Trustee and the Paying Agent, within three Business Days after receipt by the Certificate Registrar of a request by the Trustee or Paying Agent, as the case may be, in writing, a list, in such form as the Trustee or Paying Agent, as the case may be, may reasonably require, of the names and addresses of the Certificateholders of each Class as of the most recent Record Date. (b) If the Depositor, the Operating Adviser, the Special Servicer, the Servicer, the Paying Agent, or three or more Holders (hereinafter referred to as "applicants," with a single Person which (together with its Affiliates) is the Holder of more than one Class of Certificates being viewed as a single "applicant" for these purposes) apply in writing to the Trustee, and such application states that the applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Certificates and is accompanied by a copy of the communication which such applicants propose to transmit, then the Trustee shall, within six Business Days after the receipt of such application (and subject to the Certificate Registrar's compliance with its obligations under clause (a) above, if applicable), send, at such Person's expense, the written communication proffered by the applicants to all Certificateholders at their addresses as they appear in the Certificate Register.

(b) If the Depositor, the Operating Adviser, the Special Servicer, the Servicer, the Paying Agent, NIMS Insurer or three or more Holders or Certificate Owners (hereinafter referred to as "applicants," with a single Person which (together with its Affiliates) is the Holder of more than one Class of Certificates being viewed as a single Applicants"applicant" for these purposes) apply in writing to the Trustee, and such application states that the applicants Applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Certificates and is accompanied by a copy of the communication which such applicants Applicants propose to transmit, then the Trustee shall, within six five Business Days after the receipt of such application (and subject application, afford such Applicants reasonable access during the normal business hours of the Trustee to the Certificate Registrar's compliance with its obligations under clause (a) abovemost recent list of Certificateholders held by the Trustee or shall, if applicable)as an alternative, send, at such Person's the Applicants' expense, the written communication proffered by the applicants Applicants to all Certificateholders at their addresses as they appear in the Certificate Register.

(b) If the Depositor, the Operating Adviser, the Special Servicer, the Master Servicer, the Paying Agent, Trustee or three or more Holders (hereinafter referred to as "applicants," with a single Person which (together with its Affiliates) is the Holder of more than one Class of Certificates being viewed as a single "applicant" for these purposes) apply in writing to the Trustee, Paying Agent and such application states that the applicants desire to communicate with other Holders with respect to their rights under this Agreement or under the Certificates and is accompanied by a copy of the communication which such applicants propose to transmit, then the Trustee Paying Agent shall, within six five Business Days after the receipt of such application (and subject to the Certificate Registrar's compliance with its obligations under clause (a) above, if applicable)application, send, at such Person's expense, the written communication proffered by the applicants to all Certificateholders at their addresses as they appear in the Certificate Register.
