Access to Project Facilities. The information about the Project Facilities is specified in Schedule II. This information is provided by DUSIB in good faith and with due regard to the matters for which such information is required by the Shelter Management Agency. DUSIB agrees to provide to the Shelter Management Agency, upon a reasonable request, any further information relating to the Project Facilities, which Shelter Management Agency may possess or may hereafter come to possess. Subject to this, DUSIB makes no representation and gives no warranty to the Shelter Management Agency in respect of the condition of the Project Facilities and shall not be liable in any manner for the correctness or completeness of the information provided by it to the Shelter Management Agency. The Shelter Management Agency shall accept such information at its cost, risk and consequence.

Access to Project Facilities. Owner represents and covenants that Project Manager shall and may peaceably have complete access to and presence in the Project Facilities in accordance with the terms of this Agreement, free from molestation, eviction and disturbance by Owner or by any other person or entity; provided, however, that such right of access to and presence in the Project Facilities shall cease upon the termination of this Agreement pursuant to its terms; provided, further, that such right to access and presence in the Project Facilities shall not be considered to be a transfer or conveyance to any right, title, or interest in the Project Facilities or any other land or real property; and provided further that if the Project Manager’s license is revoked by Owner pursuant to this Agreement, Project Manager’s access and presence in the Project Facilities in its capacity as the Project Manager shall be limited to recovery of Project Manager’s books, records and personal property of Project Manager and shall be terminated thereafter.

  • Access to Project Site ‌ City will make available, no later than the commencement date designated in the current construction Schedule accepted by City, the lands and facilities upon which the Work is to be performed, including such access and other lands and facilities designated in the Contract Documents, for use by Contractor.

  • Access to Facilities Each of the Company and each of its Subsidiaries will permit any representatives designated by the Purchaser (or any successor of the Purchaser), upon reasonable notice and during normal business hours, at such person's expense and accompanied by a representative of the Company, to: (a) visit and inspect any of the properties of the Company or any of its Subsidiaries; (b) examine the corporate and financial records of the Company or any of its Subsidiaries (unless such examination is not permitted by federal, state or local law or by contract) and make copies thereof or extracts therefrom; and (c) discuss the affairs, finances and accounts of the Company or any of its Subsidiaries with the directors, officers and independent accountants of the Company or any of its Subsidiaries. Notwithstanding the foregoing, neither the Company nor any of its Subsidiaries will provide any material, non-public information to the Purchaser unless the Purchaser signs a confidentiality agreement and otherwise complies with Regulation FD, under the federal securities laws.

The NYISO, in consultation with the Connecting Transmission Owner, shall provide a best estimate cost, including overheads, for the purchase and construction of its Interconnection Facilities and provide a detailed itemization of such costs.
