No representation or warranty by the Company or Company Shareholders contained in this Agreement, nor any statement or certificate furnished by the Company or the Company Shareholders to KHC, Merger Sub or their representatives, contains any untrue statement of a material fact, or omits to state any material fact required to make the representation, warranty, statement or certificate not misleading.
