Common use of Accuracy of and Certificate as to Representations and Warranties Clause in Contracts

Accuracy of and Certificate as to Representations and Warranties. The representations and warranties of Seller contained herein and in all documents to be delivered pursuant hereto shall be true and correct in all material respect as of the Settlement Date, as if made at such time, and Purchaser shall have received from Seller a certificate, dated as of the Settlement Date and signed by an executive officer of Seller, certifying that all such representations and warranties of Seller remain true and correct as of the Settlement Date.
