Common use of Accuracy of Information, Transmissions Through, and Access to NETWORKING Clause in Contracts

Accuracy of Information, Transmissions Through, and Access to NETWORKING. Any information provided by the Fund Company to Broker-Dealer through Networking and pursuant to this Agreement shall be accurate, complete and, if through Networking, in the format prescribed by the NSCC. The Fund Company shall adopt, implement and maintain procedures reasonably designed to ensure the accuracy of all transmissions through Networking and to limit the access to, and the inputting of data into, Networking to persons specifically authorized by the Fund Company. In the event the Networking system rejects any transmission by the Fund Company to the Broker-Dealer, if the entire file is rejected, the Fund Company will resend the file, and if an individual record in the file is rejected, the Fund Company will provide the relevant information to the Broker-Dealer manually.
