Common use of Accuracy of Representations and Warranties; Covenants Clause in Contracts

Accuracy of Representations and Warranties; Covenants. (a) Each of the representations and warranties of the Purchaser contained in this Agreement shall be true and correct in all material respects as of the Closing Date. (b) Each and all of the terms, covenants and agreements to be complied with or performed by the Purchaser on or before the Closing Date shall have been complied with and performed in all material respects.

Accuracy of Representations and Warranties; Covenants. (a) Each of the representations and warranties of the Purchaser contained in this Agreement herein shall be true and correct in all material respects when made and on and as of the Closing Date. (b) Each , with the same force and all effect as though the same had been made on and as of the termsClosing Date, covenants and agreements to be complied with or performed by the Purchaser on or before the Closing Date shall have been complied with and performed in all material respectsrespects with the covenants and provisions contained herein required to be performed or complied with at or prior to the Closing.
