Common use of Accuracy of the Representations Clause in Contracts

Accuracy of the Representations. Other than the representations and warranties in Section 3.01, Section 3.02, Section 3.03, Section 3.07, and Section 3.18, each of the representations and warranties made by the Seller and the Owner in this Agreement shall have been accurate in all material respects as of the Agreement Date and shall be accurate in all material respects as of the Closing Date (except as to such representations and warranties made as of a specific date, which shall have been accurate in all material respects as of such date), in each case, without giving effect to any materiality qualifications contained in such representations and warranties. The representations and warranties made by the Seller and the Owner in Section 3.01, Section 3.02, Section 3.03, Section 3.07, and Section 3.18 shall have been true and correct in all respects as of the Agreement Date and shall be true and correct in all respects as of the Closing Date (except as to such representations and warranties made as of a specific date, which shall have been true and correct in all respects as of such date).
