Common use of Accurate and Complete Disclosure Clause in Contracts

Accurate and Complete Disclosure. No representation or warranty made by Borrower in this Agreement and no statement made by Borrower in the Financial Statements furnished pursuant to Section 5.6 hereof or otherwise, or any certificate, report, exhibit or document furnished by Borrower to Lender pursuant to or in connection with this Agreement or the Loan is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

Accurate and Complete Disclosure. No representation or warranty made by any Borrower in under this Agreement or any other Loan Document and no statement made by any Borrower in the Financial Statements furnished pursuant to Section 5.6 hereof or otherwise, or any of its Subsidiaries in any financial statement, certificate, report, exhibit or document furnished by any Borrower or any of its Subsidiaries to the Agent and/or any Lender pursuant to or in connection with this Agreement or (including, without limitation, in connection with the Loan Original Agreement) is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by Borrower in this Agreement and no statement made by Borrower in the Financial Statements furnished pursuant to Section 5.6 3.6 hereof or otherwise, or any certificate, report, exhibit or document furnished by Borrower to Lender pursuant to or in connection with this Agreement or the Loan is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by Borrower in this Agreement and no statement made by Borrower or any Guarantor in the Financial Statements furnished pursuant to Section 5.6 hereof or otherwise, or any certificate, report, exhibit or document furnished by Borrower or any Guarantor to Lender pursuant to or in connection with this Agreement or the Loan is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by the Borrower in or any Surety under this Agreement Agreement, the Notes, the Security Agreements or the other Loan Documents and no statement made by the Borrower or any Surety in the Financial Statements any financial statement (furnished pursuant to Section 5.6 hereof Sections 3.12 or 5.01 or otherwise), or any certificate, report, exhibit or document furnished by the Borrower to Lender the Agent or the Banks pursuant to or in connection with this Agreement or the Loan is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by the Borrower in under this Agreement is, and no statement made by the Borrower in the Financial Statements any financial statement (furnished pursuant to Section 5.6 hereof 5.1(a) or otherwise), or any certificate, report, exhibit or document furnished by the Borrower to Lender the Administrative Agent or the Banks pursuant to or in connection with this Agreement or will, at the Loan is time furnished, be, false or misleading in any material respect (including including, without limitation, by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by the Borrower in under this Agreement Agreement, the Notes or the other Loan Documents and no statement made by the Borrower in the Financial Statements furnished pursuant to Section 5.6 hereof or otherwise, or any certificate, report, exhibit or document furnished by the Borrower to the Lender pursuant to or in connection with this Agreement or the Loan is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by any Borrower in under this Agreement or any other Loan Document and no statement made by any Borrower in the Financial Statements furnished pursuant to Section 5.6 hereof or otherwise, or any Other Subsidiary in any financial statement, certificate, report, exhibit or document furnished by any Borrower or any Other Subsidiary to Agent and/or any Lender pursuant to or in connection with this Agreement or the Loan is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading) as of the date made (or hereafter remade, if applicable).

No representation or warranty made by the Borrower in under this Agreement Agreement, the Note or the other Loan Documents and no statement made by the Borrower in the Financial Statements any financial statement (furnished pursuant to Section 5.6 hereof Sections 3.08 or 5.01 or otherwise), or any certificate, report, exhibit or document furnished by the Borrower to the Lender pursuant to or in connection with this Agreement or the Loan is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by Borrower in the Borrowers under this Agreement or the other Loan Documents and no statement made by Borrower the Borrowers in the Financial Statements any financial statement (furnished pursuant to Section 5.6 hereof Sections 4.12 or 6.01 or otherwise), or any certificate, report, exhibit or document furnished by the Administrative Borrower to the Lender pursuant to or in connection with this Agreement or the Loan is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).

No representation or warranty made by the Borrower in or any Surety under this Agreement Agreement, the Security Agreements or the other Loan Documents and no statement made by the Borrower or any Surety in the Financial Statements any financial statement (furnished pursuant to Section 5.6 hereof 4.12 or 6.01 or otherwise), or any certificate, report, exhibit or document furnished by the Borrower to Lender the Agents or the Lenders pursuant to or in connection with this Agreement or the Loan is false or misleading in any material respect (including by omission of material information necessary to make such representation, warranty or statement not misleading).
