Accurate and Complete Records. The corporate minute books, stock ledgers, ----------------------------- books, ledgers, financial records and other records of the Corporation: 1. have been made available to United and its agents at the Corporation's offices or at the offices of United's attorneys or the Corporation's attorneys; 1. have been, in all material respects, maintained in accordance with all applicable laws, rules and regulations; and 1. are accurate and complete, reflect all material corporate transactions required to be authorized by the Boards of Directors and/or shareholders of the Corporation and do not contain or reflect any material discrepancies.
