Acknowledgement of Access Clause Samples
The Acknowledgement of Access clause serves to confirm that a party has been given the opportunity to review certain documents, information, or premises relevant to the agreement. In practice, this clause may require a party to state that they have had access to financial records, property, or other materials necessary for making informed decisions before entering into the contract. Its core function is to prevent future disputes by ensuring that all parties acknowledge they had sufficient access to pertinent information, thereby reducing the risk of claims based on lack of disclosure or inadequate information.
Acknowledgement of Access. Employee hereby acknowledges that, in connection with Employee’s employment with the Company, Employee has received, and will continue to receive, various information regarding the Company and its business, operations and affairs. All such information, to the extent not publicly available other than as a result of a disclosure by Employee in violation of this Agreement, is referred to herein as the “Nonpublic Information.”
Acknowledgement of Access. Consultant acknowledges that it has obtained and will obtain the opportunity to have contact with, learn about, provide services to, and establish relationships with one or more Clients of the Company, as well as their employees and contractors, as a result of the marketing efforts, prior relationships, goodwill, and professional reputation of the Company. Accordingly, Consultant agrees that the restrictions of this Section 7 are fair and reasonable. No Solicitation or Hiring of Employees or Contractors. Consultant agrees that during the term of this Agreement and for a period of twelve (12) months thereafter, Consultant will not in any way, directly or indirectly, on its own behalf or on the behalf of any other person or entity other than the Company, (a) induce or attempt to induce any employee or contractor of Company to cease working for the Company; (b) otherwise interfere with or disrupt Company's relationship with any person, including its employees or contractors; or (c) solicit, entice, or hire, or cause to be solicited, enticed or hired, any employee or contractor of the Company who is, was or shall have been an employee or contractor of the Company at any time during the twelve (12) months prior to such prohibited activity.
Acknowledgement of Access. Pursuant to this Agreement, Executive has agreed to become President and Chief Financial Officer of Employer and to comply with the non-disclosure provisions contained in Section 6 hereof. Executive recognizes and acknowledges that he will be given access to certain of Employer's Confidential Information (as defined in Section 6(a)), and have access to and authority to develop relationships with customers of Employer because of his position and status as Employer's President and Chief Financial Officer, which he would not otherwise attain. In consideration of the foregoing, Executive agrees to comply with the terms of this Section 7.
Acknowledgement of Access. Purchaser acknowledges that it has had full and complete access to the books and records of the Company, certain employees and facilities owned and leased by the Company, and all documents and instruments described or listed in any section of the Company Disclosure Letter, and, furthermore, that Purchaser has conducted such due diligence investigations of the Company, its assets and its operations, with the full cooperation of the Company, as Purchaser has deemed necessary or advisable in connection with the transactions contemplated by this Agreement.
