Common use of Acknowledgement of Receipt of Information Clause in Contracts

Acknowledgement of Receipt of Information. Parent and Buyer have had an opportunity to ask questions and receive answers and materials, and to discuss the business of the Company and its Subsidiaries and related matters, with certain key officers of the Company and its Subsidiaries regarding the transactions contemplated hereunder (the “Investigation”). Parent and Buyer hereby acknowledge and agree that other than the Company’s representations and warranties set forth in Article 4 and the Company Shareholders’ representations and warranties set forth in Article 5 hereof, none of the Company, Company Securityholders or any of their representatives make or have made any representation or warranty, express or implied, at Law or in equity, with respect to the business of the Company or any Subsidiary thereof nor with respect to the Company Shares. Nothing in this Section 6.9 (including any information provided to Parent or Buyer by the Company pursuant to the Investigation) shall derogate from the representations and warranties of the Company contained in Article 4 hereof or the representations and warranties of the Company Shareholders contained in Article 5, or from the ability of Buyer or Parent to rely on such representations and warranties or to seek indemnification for Losses in respect of such representations and warranties under Article 10.

Parent and Buyer have Purchaser has had an opportunity to ask questions and receive answers and materials, and to discuss the business of the Company and its Subsidiaries and related matters, with certain key officers of the Company and its Subsidiaries regarding the transactions contemplated hereunder (the “Investigation”). Parent Purchaser hereby acknowledges and Buyer hereby acknowledge and agree agrees that other than the Company’s representations and warranties set forth in Article 4 III and the Company Shareholders’ Seller's representations and warranties set forth in Article 5 V hereof, none of the Company, Company Securityholders or the Seller or any of their representatives make or have made any representation or warranty, express or implied, at Law or in equity, with respect to the business of the Company or any Subsidiary thereof nor with respect to the Company Subject Shares. Nothing in this Section 6.9 4.4(f) (including any information provided to Parent or Buyer the Purchaser by the Company pursuant to the Investigation) shall derogate from the representations and warranties of the Company contained in Article 4 III hereof or the representations and warranties of the Company Shareholders Seller contained in Article 5V, or from the ability of Buyer or Parent Purchaser to rely on such representations and warranties or to seek indemnification for Losses in respect of such representations and warranties under Article 10IX.
