Acknowledgment of Trading. Subject to the agreements of the Manager set forth in Section 2(g) hereof, the Company consents, to the extent permitted under the Securities Act, the Exchange Act, and the rules of the Trading Market, to the extent applicable, and under this Agreement, to the Manager trading in the Common Shares for the Manager’s own account and for the account of its clients at the same time as sales of the Shares occur pursuant to this Agreement or pursuant to a Terms Agreement, provided that the Manager will ensure appropriate and customary information barriers are in place with respect confidential information relating to the Company in order to ensure compliance with applicable securities laws in connection with such sales.
