Common use of Acknowledgments by Executive Clause in Contracts

Acknowledgments by Executive. Executive acknowledges that (a) during the Term and as a part of Executive’s employment, Executive has been and will be afforded access to Confidential Information (as defined below); (b) public disclosure of such Confidential Information could have an adverse effect on the Company and its business; (c) because Executive possesses substantial technical expertise and skill with respect to the Company’s business, Company desires to obtain exclusive ownership of each invention by Executive while Executive is employed by the Company, and Company will be at a substantial competitive disadvantage if it fails to acquire exclusive ownership of each such invention by Executive; and (d) the provisions of this Section 17 are reasonable and necessary to prevent the improper use or disclosure of Confidential Information and to provide Company with exclusive ownership of all inventions and works made or created by Executive.

Acknowledgments by Executive. The Executive acknowledges that (ai) prior to and during the Term Executive's employment and as a part of Executive’s his employment, Executive has been and will be afforded access to Confidential Information (as defined below)Information; (bii) public disclosure of such Confidential Information could have an adverse effect on the Company Employer and its business; (ciii) because Executive possesses substantial technical expertise and skill with respect to the Company’s Employer's business, Company the Employer desires to obtain exclusive ownership of each invention by Executive while Executive is employed by the CompanyEmployee Invention, and Company the Employer will be at a substantial competitive disadvantage if it fails to acquire exclusive ownership of each such invention by ExecutiveEmployee Invention; and (div) the provisions of this Section 17 9 are reasonable and necessary to prevent the improper use or disclosure of Confidential Information and to provide Company the Employer with exclusive ownership of all inventions and works made or created by ExecutiveEmployee Inventions.
