Common use of Acquisition of Notes Clause in Contracts

Acquisition of Notes. (a) Neither Parent nor any of its Subsidiaries shall purchase or otherwise acquire any Note except pursuant to an offer made pro rata and on the same terms to all Holders of Notes. If Parent or any of its Subsidiaries acquires any Notes, such Notes shall be cancelled and shall not be reissued, and no Note shall be issued in substitution of such Note. (b) Parent shall not have the right to prepay any Note prior to the Maturity Date.
