ACTION IN WRITING. Any action which the Managers are required or permitted to take may be taken without a meeting, if a proposed resolution in writing authorizing such action is sent to all Managers and a majority of the voting Managers then holding office consent in writing to the adoption of such resolution. Such consents shall have the same force and effect as a vote at a meeting duly held and may be stated as such in any certificate or document. A consent may be executed in one or more counterparts, all of which together shall constitute the consent of the Managers.
