Action Relating to this Agreement. There is no Action pending or, to the best Knowledge of the Covenantors, threatened, that questions the validity of any Transaction Document, or the right of any Covenantor to enter into such agreement, or to consummate the transactions contemplated hereby or thereby or that could, individually or in the aggregate, result in a Material Adverse Effect or a change in the current equity ownership of any Group Company.
