Common use of Action to Protect the Government’s Interest Clause in Contracts

Action to Protect the Government’s Interest. (1) The PAH shall execute or have executed and promptly deliver to CMF all instruments necessary to (i) establish or confirm the rights the Government has throughout the world in those Subject Inventions to which the PAH elects to retain title, and (ii) convey title to the Government when requested under Section 10.04 of this Article X, Patent Rights, and to enable the Government to obtain patent protection throughout the world in that Subject Invention. (2) The PAH agrees to require, by written agreement, that its employees working on Project Agreements, other than clerical and non-technical employees, agree to disclose promptly in writing, to personnel identified as responsible for the administration of patent matters and in a format acceptable to the CMF, each Subject Invention made under this Agreement in order that the CMF on behalf of the PAH can comply with disclosure provisions of Section 10.03 of the Article X, Patent Rights, and to execute all papers necessary to file the patent applications on the Subject Invention and to establish the Government’s rights in the Subject Invention. The PAH acknowledges and shall instruct its employees, through employee agreements or other suitable educational programs, on the importance of reporting inventions in sufficient time to permit the filing of patent applications prior to U.S. or foreign statutory bars.

The PAH shall Collaboration agrees that the inventing Program Participant will execute or have executed and promptly deliver to CMF the Government all instruments necessary to (i) establish or confirm the rights the Government has throughout the world in those Subject Inventions subject inventions to which the PAH Program Participant elects to retain title, and (ii) convey title to the Government when requested under Section 10.04 paragraph D of this Article X, Patent Rights, and to enable the Government to obtain patent protection throughout the world in that Subject Inventionsubject invention. (2) . The PAH Collaboration agrees to require, by written agreement, that its employees of the Program Participants working on Project Agreementsprogram projects, other than clerical and non-technical employees, agree to disclose promptly in writing, to personnel identified as responsible for the administration of patent matters and in a format acceptable to the CMFCollaboration, each Subject Invention subject invention made under this Agreement in order that the CMF on behalf of the PAH Program Participant can comply with the disclosure provisions of Section 10.03 paragraph C of the this Article X, Patent Rights, and to execute all papers necessary to file the patent applications on the Subject Invention subject invention and to establish the Government’s rights in the Subject Inventionsubject invention. The PAH acknowledges and Program Participants shall instruct its their employees, through employee agreements or other suitable educational programs, on the importance of reporting inventions in sufficient time to permit the filing of patent applications prior to U.S. or foreign statutory bars. 3. The Collaboration shall notify the Government of any Program Participant's decisions not to continue the prosecution of a patent application, pay maintenance fees, or defend in a reexamination or opposition proceedings on a patent, in any country, not less than thirty
