Common use of Action Without Vote Clause in Contracts

Action Without Vote. Notwithstanding any other provisions of this Section, the Administrative Agent may take the following action without obtaining the consent of the Syndication Parties: (a) Determining (i) whether the conditions to an Advance have been met, and (ii) the amount of such Advance. If no written consent or denial is received from a Syndication Party within five (5) Banking Days after written notice of any proposed action as described in this Section is delivered to such Syndication Party by the Administrative Agent, such Syndication Party shall be conclusively deemed to have consented thereto for the purposes of this Section.

Action Without Vote. Notwithstanding any other provisions of this Section, the Administrative Agent may take the following action actions without obtaining the consent of the Syndication Parties: (a) Determining (i) whether the conditions to an Advance have been met, and (ii) the amount of such Advance; (b) Determining whether the Bid Advance conditions and procedures as set forth in Article 4 hereof have been properly satisfied. If no written consent or denial is received from a Syndication Party within five (5) Banking Days after written notice of any proposed action as described in this Section is delivered to such Syndication Party by the Administrative Agent, such Syndication Party shall be conclusively deemed to have consented thereto for the purposes of this Section.
