Common use of Actions Affecting Rights Clause in Contracts

Actions Affecting Rights. No Guarantor shall (i) take any action if such action may interfere with the enforcement of any rights hereunder or under the other Related Documents, including rights with respect to the Transferred Receivables; (ii) waive or alter any rights with respect to the Transferred Receivables (or any agreement or instrument relating thereto); or (iii) fail to pay any tax, assessment, charge, fee or other obligation of the Originator with respect to the Transferred Receivables, or fail to defend any action, if such failure to pay or defend may adversely affect the priority or enforceability of the perfected title of Buyer to and the sole record and beneficial ownership interest of Buyer in the Transferred Receivables or, prior to their Transfer hereunder, the Originator's right, title or interest therein.

Actions Affecting Rights. No Guarantor Such Originator shall not (i) take any action action, or fail to take any action, if such action may or failure to take action would reasonably be expected to interfere with the enforcement of any rights hereunder or under the other Related Documents, including rights with respect to the Transferred Receivables; or (ii) waive or alter any rights with respect subject to the Transferred Receivables (or any agreement or instrument relating theretoSection 4.02(k); or (iii) , fail to pay any tax, assessment, chargeCharge, fee or other obligation of the such Originator with respect to the Transferred Receivables, or fail to defend any action, if such failure to pay or defend may could reasonably be expected to adversely affect the priority or enforceability of the perfected title of its Related Buyer to and the sole record legal and beneficial ownership interest of such Buyer in the Transferred Receivables or, prior to their Transfer hereunder, the such Originator's ’s right, title or interest therein.
