Actions Affecting Rights. The Originator shall not (i) take any action, or fail to take any action, if such action or failure to take action may interfere with the enforcement of any material rights hereunder or under the other Transaction Documents, including rights with respect to the Transferred Fleet Receivables and the Receivables Property (except as provided in clause (ii) below); (ii) waive or alter any rights with respect to the Transferred Fleet Receivables (or any agreement or instrument relating thereto) except in accordance with the Policies; or (iii) fail to pay any tax, assessment, charge, fee or other obligation of the Originator with respect to the Transferred Fleet Receivables and the Receivables Property , or fail to defend any action, if such failure to pay or defend may adversely affect the priority or enforceability of the perfected title of SPV to and the sole record and beneficial ownership interest of SPV in the Transferred Fleet Receivables and the Receivables Property, or prior to their Transfer hereunder, the Originator's right, title or interest therein.
