As long as any shares of Preferred Stock remain outstanding, the consent ----- of the holders of at least a majority of the votes which holders of Preferred Stock are entitled to cast, given in person or by proxy, either in writing without a meeting or by vote at a meeting called for such purpose, shall be necessary for effecting or validating any amendment, alteration or repeal of any of the provisions of the Certificate of Incorporation or the By-Laws of the Corporation which (a) increases the number of authorized shares of any class of capital stock, (b) adversely affects the rights, preferences or powers of any class of Preferred Stock or of the holders thereof or (c) decreases the required time for the giving of any notice to which the holders of Preferred Stock may be entitled.
