Common use of Actions to Satisfy Closing Conditions Clause in Contracts

Actions to Satisfy Closing Conditions. (1) Each of the Vendors shall take all such actions as are within its or his power to control and each will use its or his Best Efforts to cause other actions to be taken which are not within its or his power to control, so as to ensure compliance with all of the conditions set forth in Section 6.1, including ensuring that during the Interim Period and at Closing, there is no breach of any of his representations and warranties. (2) The Purchaser shall take all such actions as are within its power to control and to use its Best Efforts to cause other actions to be taken which are not within its power to control, so as to ensure compliance with all of the conditions set forth in Section 6.2, including ensuring that during the Interim Period and at Closing, there is no breach of any of its representations and warranties.

Actions to Satisfy Closing Conditions. (1) Each of the Vendors shall take all such actions as are within its or his power to control and each will use its or his Best Efforts to cause other actions to be taken which are not within its or his power to control, so as to ensure compliance with all of the conditions set forth in Section 6.1, including ensuring that during the Interim Period and at Closing, there is no breach of any of his representations and warranties. (2) The Purchaser Vendor shall take all such actions as are within its power to control and to shall use its Best Efforts commercially reasonable efforts to cause other actions to be taken which are not within its power to control, so as to ensure compliance with all of the conditions set forth in Section 6.26.1 including ensuring that during the Interim Period and at Closing, there is no breach of any of its representations and warranties. The Purchaser shall take all such actions as are within its power to control and shall use its commercially reasonable efforts to cause other actions to be taken which are not within its power to control, so as to ensure compliance with all of the conditions set forth in Section 6.3 including ensuring that during the Interim Period and at Closing, there is no breach of any of its representations and warranties.

(1) Each of the Vendors and the Corporation shall take all such actions as are within its or his their power to control and each will to use its or his Best Efforts their best efforts to cause other actions to be taken which are not within its or his their power to control, so as to ensure compliance with all of the conditions set forth in Section 6.1, Article 6 including ensuring that during the Interim Period and at Closing, there is no breach of any of his their respective representations and warranties. (2) The Purchaser shall take all such actions as are within its power to control and to use its Best Efforts best efforts to cause other actions to be taken which are not within its power to control, so as to ensure compliance with all of the conditions set forth in Section 6.2, Article 6 including ensuring that during the Interim Period and at Closing, there is no breach of any of its representations and warranties.

(2) The Subject to Section 5.7, the Purchaser shall take all such actions as are within its power to control and to shall use its Best Efforts best efforts to cause other actions to be taken which are not within its power to control, so as to ensure compliance with all of the conditions set forth in Section 6.2, 6.2 including ensuring that during the Interim Period and at Closing, there is no breach of any of its representations and warranties.

(2) 6.3.1 The Purchaser Vendor shall take all such actions as are within its power to control and to use its Best Efforts best efforts to cause other actions to be taken which are not within its power to control, so as to ensure compliance with all of the conditions set forth in Section 6.2, 7.1 including ensuring that during the Interim Period and at Closing, there is no breach of any of its representations and warranties. 6.3.2 The Purchaser shall take all such actions as are within its power to control and to use its best efforts to cause other actions to be taken which are not within its power to control, so as to ensure compliance with all of the conditions set forth in Section 7.2 including ensuring that during the Interim Period and at Closing, there is no breach of any of its representations and warranties.
