Actions where Indemnitee is Deceased. If Indemnitee is a person who was or is a party or is threatened to be made a party to any Proceeding by reason of the fact that he is or was an Agent of the Corporation, or by reason of anything done or not done by Indemnitee in any such capacity, and prior to, during the pendency of, or after completion of, such Proceeding, Indemnitee shall die, then the Corporation shall indemnify, defend and hold harmless the estate, heirs and legatees of Indemnitee against any and all Liabilities incurred by such estate, heirs or legatees in connection with the investigation, defense, settlement or appeal of such Proceeding on the same basis as provided for Indemnitee in SECTIONS 3(a) AND 3(b) above.

If Indemnitee is a person who was or is a party party, or is threatened to be made a party party, to any Proceeding proceeding by reason of the fact that he or she is or was an Agent of the Corporationa Board Member or Officer, as applicable, or by reason of anything done or not done by Indemnitee in any such capacity, and prior to, during the pendency of, or after completion of, such Proceedingproceeding, Indemnitee shall die, then the Corporation Company shall indemnify, defend and hold harmless the estate, heirs and legatees of Indemnitee against any and all Liabilities Damages incurred by such estate, heirs or legatees in connection with the investigation, defense, settlement or appeal of such Proceeding proceeding on the same basis as provided for the Indemnitee in SECTIONS 3(a) AND 3(b) above3 and 4.
