Activities of Merger Sub. MergerCo does not have any Subsidiaries or material investments of any kind in any entity. MergerCo has been incorporated on behalf of the Acquiror solely for purposes of accomplishing the Merger, has not engaged in any other business activity and has conducted its operations only as contemplated hereby.
