Common use of Activities of Merger Sub Clause in Contracts

Activities of Merger Sub. Merger Sub was incorporated solely for the purpose of effecting the transactions contemplated by this Agreement. Merger Sub has not and will not engage in any activities other than those contemplated by this Agreement, has not and will not enter into any agreement or arrangement with any Person other than this Agreement or any other agreement contemplated by this Agreement, and has, and will have as of immediately prior to the Effective Time, no obligations or liabilities other than those contemplated by this Agreement.
