Acts and Proceedings. This Agreement has been duly authorized by all necessary action on Agbar's part and has been duly executed and delivered by Agbar, and is a valid and binding agreement upon Agbar enforceable in accordance with its terms, except as such enforcement may be limited by applicable bankruptcy, insolvency, reorganization or other laws relating to or affecting the enforcement of creditors' rights generally and general principles of equity (whether enforcement is sought by proceedings in equity or at law).
