Common use of Addition of Sellers Clause in Contracts

Addition of Sellers. Subject to subsection 3.4 hereof, ------------------- subsection 8.23 of the Receivables Transfer Agreement and the terms and conditions of this subsection 9.14, from time to time one or more additional, direct or indirect, wholly owned Subsidiaries of WMI may become Sellers hereunder and parties hereto. If any such Subsidiary wishes to become an additional Seller, it shall submit a request to such effect in writing to the Company. The Company, in its sole and absolute discretion, may agree to or deny any such request; provided, that if the Company shall have failed to respond to -------- any such request within 30 days after receipt thereof, such request shall be deemed to have been denied. If the Company shall have agreed to any such request, such Subsidiary shall become an additional Seller hereunder and a party hereto on the related Seller Addition Date upon satisfaction of the conditions set forth in subsection 3.4.

If any such Subsidiary or Affiliate wishes to become an additional Seller, it shall submit a request to such effect in writing to the Company.
