Common use of Additional Charge Clause in Contracts

Additional Charge. In the event that at any time an Event of Default with respect to Northwest has occurred and Worldspan has given Northwest notice terminating this Agreement as a result thereof, then, in addition to all amounts otherwise payable to Worldspan hereunder, Northwest shall pay to Worldspan an Additional Charge equal to [**] of all amounts (other than any Cost-Based Charges for Development Services payable pursuant to Section 4.1 hereof, any interest payable pursuant to Section 4.5(c) hereof, any Breakage Costs payable pursuant to Section 7.4(b)(3) hereof, any amounts payable pursuant to the indemnities set forth in Section 8.1(b) hereof, and any amounts payable pursuant to an arbitration award or court order resolving any dispute hereunder) otherwise payable to Worldspan pursuant to this Agreement if and to the extent that those amounts are for services provided or otherwise attributable to periods on and after (x) the first day of the calendar month in which such termination notice is given, if such termination notice is given on or before the 15th day of that month, or (y) the first day of the calendar month next following the month in which such termination notice is given, if such termination notice is given on or after the 16th day of the month in which such termination notice is given.

Additional Charge.
