Common use of Additional Documents Clause in Contracts

Additional Documents. On or prior to the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives such further certificates and documents as the Representatives may reasonably request. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.

Additional Documents. On or prior to the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives such further certificates and documents as the Representatives may reasonably request. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.

On or prior to the Closing Date or the Additional Closing Date, as the case may be, the Company Partnership shall have furnished to the Representatives such further certificates and documents as the Representatives may reasonably request. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.

All opinions, letters, certificates and evidence mentioned above or elsewhere The Representatives may in this Agreement shall be deemed to be in their sole discretion waive on behalf of the Underwriters compliance with any conditions to the provisions hereof only if they are obligations of the Underwriters hereunder, whether in form and substance reasonably satisfactory to counsel for the Underwritersrespect of an Optional Closing Date or otherwise.

All opinions, letters, certificates ; and evidence mentioned above or elsewhere all proceedings taken by the Company in this Agreement connection with the issuance and sale of the Shares as herein contemplated shall be deemed to be in compliance with the provisions hereof only if they are satisfactory in form and substance reasonably satisfactory to the Underwriters and counsel for the Underwriters.

On or prior to the Closing Date or the Additional Closing Datesuch Date of Delivery, as the case may beapplicable, the Company shall have furnished to the Representatives such further certificates and documents as the Representatives may reasonably request. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.

Additional Documents. On or prior to the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives Representative such further certificates and documents as the Representatives Representative may reasonably request. All opinions, letters, certificates and evidence other documents mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.

Additional Documents. On or prior to the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives Representative such further certificates and documents as the Representatives Representative may reasonably request. All opinions, letters, certificates certificates, and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.

All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters. The Company will furnish the Underwriters with such conformed copies of such opinions, certificates, letters and other documents as the Representative shall reasonably request.

On or prior to the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives such further certificates and documents as the Representatives may reasonably request. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters. The Representatives may in their sole discretion waive on behalf of the Underwriters compliance with any conditions to the obligations of the Company hereunder.

On or prior to the Closing Date or the applicable Additional Closing Date, as the case may be, the Company Sellers shall have furnished to the Representatives such further certificates and documents as the Representatives may reasonably request. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.

Additional Documents. On or prior to the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives Representative and the Borrower such further certificates and documents as the Representatives Representative or the Borrower may reasonably request. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the UnderwritersUnderwriters and the Borrower.

On or prior to the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives Representative, the Forward Seller and the Forward Counterparty such further certificates and documents as the Representatives Representative, the Forward Seller and the Forward Counterparty may reasonably request. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.

On or prior to the Closing Date or the Additional Closing Date, as the case may be, the Company and the Forward Purchaser shall have furnished to the Representatives such further certificates and documents as the Representatives may reasonably request. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.

Additional Documents. On or prior to the Early Closing Date, the Closing Date or the First Additional Closing Date or the Second Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives Representative such further certificates and documents as the Representatives Representative may reasonably request. All opinions, letters, certificates and evidence mentioned above or elsewhere in this Agreement shall be deemed to be in compliance with the provisions hereof only if they are in form and substance reasonably satisfactory to counsel for the Underwriters.
