Common use of Additional Legend Clause in Contracts

Additional Legend. (i) Each certificate evidencing Shares and each certificate issued in exchange for or upon the Sale of any Shares to an Affiliate or to any Third Party purchaser of Shares to whom rights under this Agreement are assigned pursuant to Section 10.6 of this Agreement shall be stamped or otherwise imprinted with a legend in substantially the following form: “THE SECURITIES REPRESENTED BY THIS CERTIFICATE ARE SUBJECT TO A SHAREHOLDERS’ AGREEMENT. THE TERMS OF SUCH SHAREHOLDERS’ AGREEMENT INCLUDES, AMONG OTHER THINGS, RESTRICTIONS ON TRANSFERS.” (ii) The Company shall imprint such legends on certificates evidencing Shares of any Sponsor, Syndicatee, Management LP and Bohai outstanding immediately following the Closing. The legend set forth above shall be removed from the certificates evidencing any Shares of any Sponsor, Syndicatee, Management LP and Bohai when such Shares are no longer subject to any restrictions under this Agreement.
