Additional Licences. 3.1 The Customer may, from time to time during the Term, increase the permitted number of named users accessing the Decision Time Service at any time by purchasing an upgrade to its User Subscription (each such upgrade an Additional Licence). If the Customer wishes to purchase an Additional Licence, the Customer shall notify Decision Time in writing and Decision Time will confirm the cost of the Additional Licences in writing (for the Customer to confirm in writing its acceptance (and purchase) or rejection of the additional cost of these). 3.2 If the Customer accepts the cost of the Additional Licences, the Customer shall, within thirty (30) calendar days of receipt of Decision Time’s invoice, pay Decision Time the relevant fees. If such a request is purchased by the Customer part way through the Initial Term, or any Renewal Period, such fees shall be prorated for the remainder of the Initial Term or the then current Renewal period, as applicable. 3.3 Subject to clause 3.4, if the Customer exceeds the User Subscription without purchasing an upgrade/Additional Licences in accordance with clause 3.1, Decision Time reserves the right to evaluate the Customer’s actual usage of the Decision Time Service and determine whether or not Additional Licences are required. Within five days of Decision Time’s notification that it has (acting reasonably) determined that the User Subscription has been exceeded, the Customer will either: 3.3.1 pay Decision Time’s invoice calculated in accordance with clause 3.2, as if the Customer has requested such Additional Licences; or 3.3.2 decrease its User numbers to comply with the original User Subscription. 3.4 Notwithstanding clause 3.3, if the Customer repeatedly exceeds the User Subscription, Decision Time reserves its right to either terminate or suspend the entire Decision Time Service (or disable a particular User or Users’ access or licence) until the invoice at 3.3.1 is paid. Decision Time may exercise this right entirely at its own discretion and this right is without prejudice to any other remedies or damages to which Decision Time may be entitled.
