Additional Obligations of the Company. In connection with the registration of Registrable Securities in accordance with Section 4(a) above, the Company agrees to pay all Registration Expenses in connection with the registration of the Registrable Securities under the Securities Act, other than the registration and filing fees and any underwriters' discounts and commissions with respect to the Registrable Securities and the fees and expenses of counsel for the Requesting Holders which shall be borne PRO RATA by the Requesting Holders.
