Additional Provisions Relating to the Operator Tokens. 6.3.1. The use of the Operator Tokens shall be governed by the Company’s (or the Token Entity’s as applicable) terms of service relating to the Tokens in force from time to time. In the event of any ambiguity or conflict between the terms of this Agreement and such terms of service, the terms of this Agreement shall prevail.
6.3.2. The total number of Tokens in the Initial Token Launch is one (1) billion.
6.3.3. The Operator acknowledges and agrees that:
6.3.3.1. the Company or the Token Entity shall not be under any obligation to grant any Operator Tokens or Tokens (or pay any compensation) to the Operator in the event that the Initial Token Launch does not take place for any reason;
6.3.3.2. neither the Operator Tokens, the Tokens nor the Operator Token Right has been registered (including for any securities law purposes) under any laws of any jurisdiction. Operator Tokens are not intended to be an investment, security, share or equity interest, debt or loan nor a derivative instrument of any of the foregoing;
6.3.3.3. there is substantial uncertainty as to the application of securities, financial, and other laws to virtual assets such as Tokens, and that the interpretation of existing laws or changes in the applicable laws may affect the regulatory status of the Operator Tokens, the Tokens and/or the Operator Token Right, the offer or sale of the Tokens and Operator Tokens, and the use of the Gevulot Firestarter and the Gevulot Mainnet and that the Operator Tokens, the Tokens and/or the Operator Token Right could be considered securities or other regulated instruments under the applicable laws and may be subject to restrictions and limitations thereunder; and
6.3.3.4. in connection with the grant, allocation or issuance of the Operator Tokens to the Operator, if the Operator is reasonably deemed by the Company to be an employee, officer, director, advisor, or consultant of the Company or the Token Entity at such time, the Company or the Token Entity may impose lockup restrictions on the Operator Tokens issuable or allocable to the Operator (in addition to those set out in this Agreement).
