Common use of Additional Required Documents Clause in Contracts

Additional Required Documents. (A) Lender shall also have received on or before the date on which a Subsidiary becomes a Participating Subsidiary (i) a certificate of each Subsidiary's corporate secretary, in form satisfactory to Lender and certifying as to the incumbency and signatures of the officers of each such Subsidiary, together with the following documents attached thereto: (1) A copy of resolutions of such Subsidiary's board of directors authorizing the execution, delivery and performance of this Agreement, the Revolving Note and the other Loan Documents, and each other document to be delivered pursuant hereto; (2) A copy, certified as of the most recent date practicable by the judge of probate of the county in which such Subsidiary's articles or certificate of incorporation is filed or the secretary of state of the state where such Subsidiary is incorporated, as appropriate, of such Subsidiary's articles or certificate of incorporation; and (3) At Lender's request, a copy of such Subsidiary's bylaws;
